The license fee is a one-time payment for the rights stated in this agreement. Rights become effective only after successful payment. A reversed, refunded, fraudulent, or charged-back payment does not grant continuing rights.
The licensed files are: Untagged MP3 + WAV + stems/trackouts. Delivery is for the licensed customer only and does not permit redistribution of the instrumental files.
Riddim & Vibez grants the licensee a Non-exclusive, worldwide, non-transferable license to create and commercially exploit one new song incorporating the beat "Vex Bullet Riddim", subject to the limits in this agreement. The beat itself is not sold as a standalone work unless the agreement expressly states otherwise.
Unlimited distributed/sold copies; Unlimited audio streams; Unlimited video streams; Unlimited music videos; Unlimited radio stations. Ordinary platform monetization is allowed within these limits. Broadcasting is permitted within the stated radio limits. Film, TV, advertising, games and other synchronization uses require separate written permission.
Non-profit live performances are allowed. Paid live performances are allowed.
The licensee may not register the beat or a song containing the beat with YouTube Content ID, Meta Rights Manager, TikTok rights-management tools, Audible Magic, AdRev, Identifyy, or comparable automated fingerprinting systems without prior written permission from Riddim & Vibez.
The licensee may not resell, lease, sublicense, give away, distribute, or upload the beat in its original or substantially similar instrumental form; include it in a sample or loop pack; claim authorship of the beat; or transfer this license to another party without written permission.
Ownership of the underlying beat and producer rights remains with Riddim & Vibez except where a separately signed exclusive agreement expressly states otherwise. The licensee retains rights in original lyrics and vocal performances added by the licensee. Credit should be given as: "Produced by Riddim & Vibez".
The license term is perpetual, subject to compliance with this agreement. A material breach, unauthorized redistribution, ownership claim, or prohibited rights-management registration may result in termination of the license after applicable notice and cure rights.
WAV + stems Publishing and writer splits are not transferred by this license unless separately agreed in writing. Synchronization use for film, television, games or advertising requires separate written permission.
This agreement is governed by the laws of The Netherlands. The parties should seek independent legal advice where appropriate.
